Welcome to Quoli, a platform built for Shopify merchants to boost their online presence through impactful reviews and marketing solutions. Owned by Quoli Inc. (“Quoli”, “we”, “us”, “our”), our platform is tailored to enhance e-commerce websites with marketing tools and insights.

Agreement

By using the Quoli Platform, you’re agreeing to our Terms of Service. These are essential for anyone looking to install or use our app. If you’re under 18 or don’t accept these terms, unfortunately, you can’t use Quoli. If you’re signing up for Quoli, ensure you’re at least 18 years old or acting under the authority of a legal entity you represent, with full rights to use the services for your website. Quoli grants you permission to install, and utilize the app strictly for legitimate business activities.
Remember, subscription through your Shopify account is necessary, and your use of Shopify is subject to its own terms, for which you’re responsible. All actions under your account and subscription are your responsibility.

Plans and Billing

Quoli might offer its app or specific features for a trial period free of charge, after which fees apply based on chosen plans. Changes from free to paid services will be communicated for your consent and you’ll be charged a recurring fee each month depending on your current plan. Fees are in US Dollars and charged via your provided payment method in Shopify, which must remain current and accurate.
Upon plan selection, you agree to these charges, including any taxes or additional fees. All payments, non-refundable, are your responsibility, even if you don’t use the service. Payment processing may involve third-party services, subject to their terms.

Termination and Suspension

Content and Management

Content Submission and Utilization: When utilizing Quoli for posting reviews on your website, any form of content submitted by you or your users—be it text, audio, visuals, or a mix thereof, including trademarks or any other merchant assets—will be processed by our platform. While Quoli doesn’t claim ownership of this content, by submitting it, you grant us a broad license to use, display, and repurpose this content across various mediums for operational and promotional purposes.

Granting of License: By submitting content, you provide Quoli with a worldwide, perpetual, royalty-free license to use your content. This includes the right to modify, distribute, and create derivative works for both facilitating your website’s functionality and Quoli’s marketing efforts. You also relinquish any intellectual property disputes related to the use of your content under these terms.

Content Warranties and Responsibilities:

Content Review and Compliance: Quoli reserves the right to inspect content to ensure compliance with these Terms and our Acceptable Use Policy. Content found to be fraudulent or in violation may be removed or lead to suspension of service.

Surviving Termination: Upon the termination of service, certain obligations, such as content rights and licenses granted to Quoli, will persist in accordance with the terms outlined.

Feedback

We welcome your feedback on the app, which we can use freely without being bound by confidentiality. You guarantee that you handle all customer interactions, returns, and legal obligations related to your products and user data. You’re also responsible for securing necessary permissions for us to process user data to enhance app functionality, including sending emails and recommendations on your behalf.

Copyright

For Quoli, it’s vital to ensure the authenticity and integrity of content. Only genuine reviews from actual product users are permitted. Fabricating reviews or impersonating others is strictly forbidden. Quoli may terminate accounts and remove content if fraudulent activity is detected, without liability for any resulting damage. Quoli is committed to respecting copyright laws and will act to remove infringing content under DMCA guidelines, including terminating repeat infringers’ accounts. If you encounter any infringing or fraudulent content on Quoli, please reach out to our support team for assistance.

Your and your users’ privacy

We respect your privacy and the privacy of your users. Our Privacy Policy explains the privacy practices on the Platform.

Intellectual property

All intellectual property rights for the Quoli Platform, including related patents, copyrights, and trademarks, belong to us and our licensors, excluding user-generated content. Usage of the platform is restricted to the terms provided, prohibiting unauthorized copying, distribution, public performance, or modification. You’re also advised against using any Quoli trademarks or logos without permission, to prevent dilution of our brand’s goodwill..

Requests to remove Content from the Application

For content removal requests from Quoli, including copyright issues or violations of our terms, please reach out to us at support@quoli.io. We rigorously review all submissions and take appropriate actions to maintain the integrity of our platform.

Application Updates and Discontinuation Policy

Quoli may periodically update or modify the app, with no obligation to maintain a regular schedule for such changes. Any adjustments or discontinuations will be at our discretion, without any liability to users. Users are not entitled to claims against Quoli for any alterations or cessation of service.

Service Support and Operational Stability

Quoli’s application performance and availability are influenced by external factors such as third-party software, hardware, and network quality, which are inherently unpredictable. Despite our best efforts to ensure smooth operation, disruptions and technical issues may occur, for which Quoli cannot guarantee uninterrupted service or complete error immunity. No compensation is provided for these interruptions.
Quoli does not offer data backup for user or third-party content. We commit to providing technical support during business hours as outlined in our support guidelines. Response times may vary, and we reserve the right to prioritize inquiries based on their complexity and the resources required for resolution.

Updating Our Terms

Quoli periodically reviews and may update the Terms of Service to reflect changes in our services or legal requirements. We will inform you of any changes before they take effect, allowing you to review and accept the updated terms. Continued use of the app after updates signifies acceptance. Should you disagree with the revised terms, the agreement may be terminated.

Disclaimer of Warranty

The Quoli platform is provided “as is” and “with all faults.” Quoli and its staff disclaim all warranties and representations, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, quality, reliability, non-infringement, title, compatibility, performance, availability, safety, security, or accuracy, with respect to the application, content, reviews, your website, your subscription, fees and billing, billing information, interactions related to the application, and any third-party software, hardware, or platform.

Limitation of Liability

Your use of the application involves communications and interactions between you and third parties, such as users. All consequences arising from these interactions are solely between you and those third parties, and you assume full and exclusive responsibility for them. Quoli is not a party to these communications, interactions, dealings, engagements, and transactions. To the maximum extent permitted by law, your use of the application is at your own sole responsibility.
Quoli, including its staff, shall not be liable to the maximum extent permitted by applicable law for any indirect, special, punitive, exemplary, statutory, incidental, or consequential damages, or any similar damage or loss (including loss of profit and loss of data), costs, expenses, and payments. This liability disclaimer applies in tort (including negligence), contract, or any other form or theory of liability, arising from or in connection with the application, the content, the reviews, your website, the fees and billing, the use of or the inability of you or third parties to use the application, your subscription, any communication or interactions with the application, or any communications, interactions, dealings, engagements, and transactions with others on or through the application, or your reliance upon the application or any content uploaded or available to the application, or any failure, error, or breakdown in the function of the application, or any reliance made by you on third-party software, hardware, or platform, or any fault or error made by our staff, or any denial or cancellation of your subscription, or retention, deletion, disclosure, and any other use or loss of content on the application.
To the greatest extent permissible under applicable law, Quoli will not be liable for any damages in excess of the fees you paid (if any) in connection with the application in the twelve (12) months preceding the event purportedly giving rise to the claimed damage.

Publicity Consent

By using Quoli, you grant us permission to disclose the fact that you are a user of our platform. This includes the right to use our name and logo on your website and in our various marketing materials.
